SIDR

Deal protection, beside your data room

Disclose the deal. Keep the deal.

Stage what each investor sees in levels, get your non-disclosure and non-circumvention terms accepted before anything identifying is shown, and keep a record of who saw what, when, and under which terms.

MeasuredRevocation is measured at 115 ms against a 5-second production budget — the next request after you cut a reader off returns nothing. In view-only mode the original file never reaches the browser at all: every response in a full recipient session is checked in the test suite, and none has ever contained a %PDF- header.

Every copy has a name.

Every page a reader opens is rendered on our servers with their address, the deal, the time and a short code unique to their copy, burned into the image before a single pixel is sent. It is not an overlay the browser could remove, because the browser never receives a document to overlay.

That is the same mechanism as the number in the line above: zero document bytes reach the browser in view-only mode. There is no download button in the reading room — not disabled, absent. A greyed-out control would advertise a capability the product does not have.

Verify it without trusting us.

Every disclosure-relevant event — an agreement accepted, a level unlocked, a page served — is appended to a hash-chained record and batched into three independent time anchors: DigiCert and FreeTSA RFC 3161 tokens, and an OpenTimestamps commitment. Timestamped by three clocks you don’t own.

The verifier is a standalone program with no connection to our servers. It recomputes the chain from genesis, replays the Merkle proof, checks the signatures, and rejects a backdated token. It checks every byte of a timestamp token’s signature, not only the time it claims, measured against both anchoring authorities, byte for byte. The record is tamper-evident, and you do not have to take our word for either half of that sentence.

The verifier runs offline, on your machine, with open tools. A row that has not reached an anchored batch yet says pending — it does not say something it cannot check.

We can’t stop a camera. We can name the photo.

A person can photograph a screen. No product prevents that, and any that says otherwise is selling you a sentence rather than a mechanism. What SIDR does instead is make the copy attributable: the photograph carries the reader’s address and their code, because those were part of the image before it was ever displayed.

We say this on the reader’s consent screen too, before they agree — not only here where it is easy. The certificate states its own limits on its face, which is the part of the document most likely to matter later.

What this proves

That this record was created when it says it was, has not been altered since, and describes pages that were served to a named reader under an agreement they accepted first. Every entry is independently checkable with open tools.

What this does not prove

It does not prove who was physically present at the screen, that no photograph was taken, or what a reader understood or remembered. It records what was served, to which credential and device, and when.

This certificate generates a timestamped, cryptographically verifiable record designed to support your position in a dispute. It is not legally binding proof, not a guarantee of any legal outcome, and not a substitute for legal advice.

The second paragraph is fixed wording. It is on every certificate we issue and it is not shortened for the marketing page.

Say less. Reveal in order.

Six steps, and the last one is the one nobody else gives you.

01Register

Hash every file and anchor the root before you send a single invitation.

02Tease

A blind teaser — type, region, size, thesis. No name, no address, no owner.

03Qualify

The reader proves an email and creates a passkey. About thirty seconds, once ever.

04Contract

Your non-disclosure and non-circumvention terms, accepted before anything identifying is shown.

05Reveal

You approve each reader, one level at a time. Redaction bars open only for them.

06Evidence

A certificate of who saw what, when, under which terms — verifiable without us.

Where originators use it.

Hotel and real-estate sourcing

You found the asset. The address is the whole of your position, and you have to show enough to get an offer without giving it away.

M&A sell-side

Ten buyers at three different levels, each with their own agreement, each with a record you can produce if a process is disputed.

Fundraising

A data room shows everyone the same thing. Staging lets you open the cap table and the model to the investors who have earned it.

Franchise and master licensing

Territory, unit economics and the operating manual belong at three different levels, to candidates you have not met.

Distribution and agency

The manufacturer, the margin and the terms are the introduction you are being paid for. Non-circumvention is the point.

IP licensing

You have to describe the invention to sell the licence. Staged disclosure and a dated record are how you do both.

Priced per room.

Not per page, and not per seat. Invite as many readers as the deal needs; the price is the deal, because that is the unit you actually think in.
